1. Agreement to Terms

By accessing or using the services, websites (vbotech.com), and software applications (such as VBO ERP and VBO Connect) provided by VBOTech ("VBOTech", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue using our products and services immediately.

2. Software Subscriptions & Licenses

For our proprietary products (VBO ERP and VBO Connect), VBOTech grants you a non-exclusive, non-transferable, revocable license to access and use the hosted software in accordance with your chosen subscription tier:

• Access Rights: Subscriptions are granted on an organization basis with authorized user seats. You are responsible for safeguarding all access credentials.
• Service Availability: We strive to maintain a 99.9% uptime SLA for our cloud-hosted applications, excluding scheduled maintenance windows.
• Restrictions: You may not reverse engineer, decompile, resell, white-label without authorization, or exploit any part of our platforms for unauthorized commercial purposes.

3. Professional & Custom Software Services

When VBOTech provides bespoke software development, consultancy, e-commerce builds, or AI automation implementations:

• Scope of Work: Deliverables, milestone schedules, acceptance criteria, and fee structures will be detailed in an agreed Statement of Work (SOW) or project contract.
• Intellectual Property: Unless otherwise specified in a custom agreement, intellectual property rights to custom deliverables transfer to the client upon full receipt of payment.
• Warranty & Bug Fixes: VBOTech provides a standard 30-day warranty period following project deployment to address any functional discrepancies from the agreed specification.

4. User Responsibilities & Acceptable Use

When utilizing our platforms and communication tools (including WhatsApp, Messenger, and AI integrations):

• You agree not to transmit unsolicited spam, unlawful material, harmful malware, or abusive content.
• You agree to comply with third-party platform terms, including Meta's WhatsApp Business Policy.
• You maintain full responsibility for any end-user data uploaded into the systems.

5. Payment, Renewals & Cancellation

Subscription fees are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time through your account portal or by contacting support. Cancellations take effect at the conclusion of the current prepaid billing cycle.

6. Limitation of Liability

To the maximum extent permitted by applicable law, VBOTech and its officers, employees, or partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business interruption arising from the use or inability to use our services.

7. Changes to Terms

We reserve the right to revise or update these Terms of Service from time to time. Material changes will be communicated via email or an in-app announcement prior to becoming effective. Continued usage following such updates constitutes acceptance of the new terms.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed under the laws applicable to VBOTech's registered jurisdiction, without regard to its conflict of law provisions.
